WHEN A PROPERTY SALE FALLS THROUGH: WHO LOSES, WHO PAYS, AND WHAT HAPPENS NEXT?

WHEN A PROPERTY SALE FALLS THROUGH: WHO LOSES, WHO PAYS, AND WHAT HAPPENS NEXT?

13 Oct 2026

A signed Offer to Purchase is an important milestone — but it does not always guarantee a successful transfer.

Buying or selling a property is a significant financial commitment. While most people focus on the purchase price, deposit and transfer process, an equally important question often goes overlooked: What happens when a property sale is cancelled after the agreement has been signed?

According to a recent report by Property Professional, the outcome can have serious financial implications for buyers, sellers, estate agents and conveyancers. The answer depends on the terms of the Offer to Purchase (OTP), the reason for cancellation, and how far the transaction has progressed.

1. DOES THE BUYER AUTOMATICALLY LOSE THE DEPOSIT?

Not necessarily. A property deposit is not automatically forfeited simply because a transaction falls through. Entitlement to the funds depends on the agreement, the circumstances surrounding the cancellation and the applicable legal process.

Where the parties disagree about who is entitled to the deposit, the funds may remain in a trust account until the dispute is resolved. Buyers and sellers should therefore avoid making assumptions about how the money will be distributed.

2. WHO IS RESPONSIBLE FOR CONVEYANCING COSTS?

The timing of the cancellation matters.

If a sale lapses because a required suspensive condition — such as obtaining bond approval — is not fulfilled, conveyancing costs may be treated differently from a transaction that collapses after the conditions have been met and substantial transfer work has begun.

Where work has already been completed, wasted conveyancing costs may become payable, depending on the circumstances, applicable fee guidelines and the terms of the agreement.

3. CAN AN ESTATE AGENT STILL CLAIM COMMISSION?

Yes, in certain circumstances.

A cancelled sale does not automatically eliminate an estate agent's right to commission. The OTP may provide for commission to remain payable if a party breaches the agreement or if the parties mutually agree to cancel after certain conditions have been fulfilled.

However, commission is not automatically due in every failed transaction. The relevant contractual provisions and circumstances must be examined before liability can be determined.

4. WHY YOUR OFFER TO PURCHASE MATTERS

An OTP is more than a document confirming the agreed purchase price. It sets out important rights, obligations, conditions and potential financial consequences for the parties involved.

Before signing, buyers and sellers should understand:

  • The suspensive conditions and their deadlines.

  • The consequences of failing to meet contractual obligations.

  • The provisions governing deposits and their release.

  • The circumstances under which commission may become payable.

  • Who may be responsible for costs if the transaction is cancelled.

Taking the time to understand these provisions can help prevent avoidable disputes and unexpected expenses.
